In plain English: plans are billed monthly in advance and you can cancel anytime. You own your accounts and, once paid for, the content we create for you. We follow each platform’s rules, we do not promise specific results, and our liability is limited to the fees you paid us recently. Wyoming law applies.
1. Agreement to these terms
These Terms of Service (“Terms”) are an agreement between you and Orbitlane Labs LLC (“Orbitlane Labs,” “we,” “us,” or “our”), a Wyoming limited liability company with its business address at 30 N Gould St Ste R, Sheridan, Wyoming 82801.
By using our website at orbitlanelabs.com, accepting a proposal, or paying for any of our services, you agree to these Terms. If you are agreeing on behalf of a business, you confirm that you have authority to bind that business, and “you” refers to that business. If you do not agree, please do not use our website or services.
If you and we sign a separate written proposal, statement of work, or service agreement, its specific terms (such as deliverables or pricing) take priority over these Terms where they conflict. Otherwise, these Terms apply.
2. Our services
We provide social media management and content marketing services, which may include content strategy, content creation, account management, community management, paid advertising campaign management, and analytics reporting (the “Services”). The specific Services, platforms, and monthly deliverables for your engagement are described in your selected plan on our Pricing page and in any proposal we send you.
Deliverables that are not used within a billing period (for example, unused posts) do not roll over to later periods unless we agree otherwise in writing. Work outside your plan’s scope may be quoted separately and will only be performed with your written approval.
3. Proposals and onboarding
After an initial consultation we may send you a written proposal. Your engagement begins when you accept the proposal or select a plan. The Service Start Date is the earlier of (a) the date of your onboarding call, or (b) the date we begin work on your account, such as auditing your profiles or drafting your first content calendar. We will confirm the Service Start Date to you in writing. Your first monthly fee is due before the Service Start Date, and we begin work only after it has been paid.
4. Plans, fees, and billing
- Billing cycle. Your billing cycle starts on your Service Start Date. Each billing period lasts one month, and each later period begins on the same calendar day of the following month (or on the last day of that month, if it has no such day).
- Monthly billing in advance. Plan fees are charged in US dollars before the service they cover. Your first monthly fee is due before your Service Start Date and covers your first billing period.
- Automatic renewal. Your plan renews automatically each month. Your payment method is charged the then-current plan fee on the first day of each new billing period until you cancel.
- Payment processing. Payments are processed by third-party payment processors. By providing a payment method, you authorize us and our processor to charge it for the fees you have agreed to.
- Taxes. Fees do not include taxes. You are responsible for any applicable sales, use, or similar taxes, which will be shown on your invoice where required.
- Late or failed payments. If a payment fails, we will notify you and retry. If the payment is not resolved within 7 days of our notice, we may pause the Services until the balance is paid.
- Plan changes. You may upgrade or downgrade at any time. Changes take effect at the start of your next billing period, unless you ask us to upgrade immediately, in which case we charge the prorated difference for the rest of the current period.
- Price changes. We may change our prices. We will give you at least 30 days’ notice by email before a price change applies to your plan, and you may cancel before it takes effect.
5. Advertising spend
Plan fees cover our management work only. Advertising budgets (“ad spend”) are paid by you directly to the advertising platform through an ad account owned by you. We will not exceed the budget you approve in writing. Advertising platforms set their own billing terms, and we cannot issue refunds for ad spend charged by a platform.
6. Cancellation and refunds
There are no long-term contracts. You may cancel at any time by emailing us at contact@orbitlanelabs.com. Cancellation takes effect on the date we receive your request, or on a later date you specify (the “Cancellation Effective Date”), and your plan will not renew after that.
If you cancel before your Service Start Date, you will receive a full refund. If you cancel after your Service Start Date, you will receive a prorated refund for the undelivered portion of your current billing period. Full details are in our Refund Policy, which forms part of these Terms.
7. Your responsibilities
To help us deliver the Services, you agree to:
- provide accurate information about your business, products, and services;
- grant the account access we reasonably need, using the platforms’ delegated or partner access tools where available;
- supply brand assets and materials, and review content calendars and approval requests in a timely way;
- make sure that any materials you give us (such as logos, photos, video, music, and product claims) are accurate and that you have the rights needed for us to use them;
- tell us about any legal or industry rules that apply to your marketing (for example, regulated products or professional advertising rules); and
- keep your own account credentials secure and tell us promptly if you believe your accounts have been compromised.
If delays in receiving approvals, access, or materials prevent us from delivering work in a billing period, the affected deliverables are still treated as available to you for that period, and we will work with you to catch up where reasonable.
8. Content approval and publishing
We share a content calendar with you before each period. Content is published only after you approve it, either individually or by approving the calendar. You are responsible for reviewing content for accuracy, including prices, offers, and claims about your products or services. Routine replies to comments and messages are handled according to response guidelines that you approve, and we will escalate sensitive or unusual questions to you.
9. Platform rules and compliance
We conduct all work in line with applicable laws and with the terms of service, community guidelines, and advertising policies of each platform we use. Sponsored or paid content is disclosed in line with the U.S. Federal Trade Commission’s Endorsement Guides and similar rules.
We may decline or stop any request that we reasonably believe would be unlawful, deceptive, infringing, harmful, or in violation of a platform’s policies. You agree not to ask us to create or promote content that is false or misleading, defamatory, discriminatory, infringes others’ rights, or promotes illegal products or activities.
Social media and advertising platforms are operated by third parties. They may change their features, algorithms, policies, or pricing, reject ads, restrict accounts, or experience outages at any time. We are not responsible for those decisions, but we will help you respond to them as part of the Services.
10. No guarantee of results
We will perform the Services with reasonable care and skill, consistent with industry standards. However, results on social media and advertising platforms depend on many factors outside our control. We do not guarantee any specific level of reach, engagement, audience size, leads, sales, revenue, or return on ad spend.
11. Intellectual property
- Your materials. You keep ownership of everything you give us, including your logos, trademarks, photos, and other content. You give us a limited, non-exclusive license to use your materials only to provide the Services.
- Deliverables. Once you have paid the fees for the billing period in which they were created, you own the final content we create specifically for you, such as finished posts, captions, graphics, and edited videos.
- Our materials. We keep ownership of our pre-existing know-how, processes, templates, and tools, and of drafts and concepts you do not approve. To the extent any of our materials are included in your deliverables, you receive a perpetual, non-exclusive license to use them as part of those deliverables.
- Third-party assets. Stock images, fonts, and music are licensed under their providers’ terms, which may limit how they can be used.
- Portfolio use. We will not name you as a client or show your work in our marketing without your written permission.
12. Account access and security
Your social media profiles and ad accounts remain owned and controlled by you. We use the access you grant only to provide the Services, protect it with industry-standard security practices, and limit it to the people who need it. You may remove our access at any time. When the engagement ends, we will remove our own access and delete any stored credentials within 30 days.
13. Confidentiality
Each of us will keep confidential the other’s non-public business information that is shared in connection with the Services, use it only for the engagement, and protect it with reasonable care. This does not apply to information that is public, already known to the receiving party, independently developed, or required to be disclosed by law. Our handling of personal information is described in our Privacy Policy.
14. Use of our website
You may use our website for lawful purposes only. You agree not to interfere with its security or operation, attempt to gain unauthorized access to our systems, or copy or reuse our website content except as permitted by law. The website’s design, text, and graphics are owned by Orbitlane Labs or its licensors. Information on the website is provided for general information and may change without notice.
15. Disclaimers
Except as expressly stated in these Terms, the website and Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all other warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
16. Limitation of liability
To the fullest extent permitted by law:
- neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, even if advised of the possibility of such damages; and
- our total liability arising out of or relating to these Terms or the Services will not exceed the total fees you paid us for the Services in the three (3) months before the event giving rise to the claim.
These limits do not apply to liability that cannot be limited by law, including liability for fraud, gross negligence, or willful misconduct.
17. Indemnification
You agree to defend and indemnify Orbitlane Labs against third-party claims, and related reasonable costs, arising from materials you provided, content you approved that contains inaccurate claims about your business, or your violation of law or of these Terms. We agree to defend and indemnify you against third-party claims that original content we created for you (excluding your materials and third-party assets) infringes that third party’s intellectual property rights. The party seeking indemnity must notify the other promptly and cooperate reasonably.
18. Term and termination
These Terms apply for as long as you use our website or Services. You may cancel as described in Section 6. We may end the Services for any reason with 30 days’ written notice, or immediately if you materially breach these Terms and do not fix the breach within 10 days of our notice. If we end the Services for a reason other than your breach, we will refund the prorated, undelivered portion of your current billing period.
When the Services end, we will deliver any completed and paid-for deliverables, provide final reports on request, and remove our account access. Sections that by their nature should continue (including intellectual property, confidentiality, limitation of liability, indemnification, and governing law) survive termination.
19. Governing law and dispute resolution
These Terms, and any dispute arising out of or relating to them or the Services, are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules.
If a dispute arises, please contact us first. We will both try in good faith to resolve it informally within 30 days. If it is not resolved, either party may bring a claim exclusively in the state or federal courts located in Sheridan County, Wyoming, and both parties consent to the jurisdiction of those courts. Either party may bring an individual claim in small claims court if it qualifies.
20. Changes to these terms
We may update these Terms from time to time. We will post the updated version on this page and change the “Last updated” date. For active clients, material changes take effect at the start of the next billing period that begins at least 30 days after we notify you by email. If you do not agree to the changes, you may cancel before they take effect.
21. General terms
- Entire agreement. These Terms, our Privacy Policy, our Refund Policy, and any signed proposal make up the entire agreement between you and us about the Services.
- Independent contractors. We are an independent contractor. Nothing in these Terms creates a partnership, joint venture, or employment relationship.
- Assignment. Neither party may transfer these Terms without the other’s consent, except in connection with a merger or sale of substantially all of its business.
- Force majeure. Neither party is responsible for delays caused by events beyond its reasonable control, such as natural disasters, widespread internet or platform outages, or government action.
- Severability and waiver. If any part of these Terms is found unenforceable, the rest remains in effect. Failing to enforce a provision is not a waiver of it.
- Notices. We will send notices to the email address associated with your account. You can send notices to us at contact@orbitlanelabs.com or by mail to the address below.
